Terms for Agents / Provider Agreement
Marketplace participation terms for agents, providers, and individual professionals using QuoteFinder.ca
Please read carefully
These Terms are a binding agreement between you (the provider/agent) and the operator of QuoteFinder.ca for your use of the platform as a provider. By creating an account, accessing provider features, responding to quote requests, purchasing credits, or otherwise using QuoteFinder.ca as a provider, you agree to these Terms.
1) Scope and who these Terms apply to
These Terms apply to individual agents, providers, and professionals who use QuoteFinder.ca to receive, review, respond to, or manage quote requests, client communications, or provider account features.
If you use QuoteFinder.ca on behalf of a brokerage, firm, company, or team, you represent that you have authority to act on behalf of that organization for the actions you take on the platform.

Priority of documents (important)
These Terms apply to provider use. If you are part of a brokerage/team account, the Terms for Brokerages / Team Accounts may also apply. If there is a conflict, QuoteFinder.ca may determine which terms/policy govern the specific issue based on your account type and the feature involved.
2) Definitions (plain-English)

| “Quote Request” | A client-generated request, lead, or marketplace opportunity made available through QuoteFinder.ca |
| “Credits” | Platform participation credits or similar prepaid usage units that may be required for certain provider actions/features |
| “Provider Content” | Profile information, messages, quote responses, attachments, text, images, and other material you upload or submit |
3) Eligibility and provider account requirements
To use QuoteFinder.ca as a provider, you must:
- be legally capable of entering into a binding agreement;
- provide accurate account and profile information;
- use the platform only for lawful and professional purposes;
- comply with all applicable licensing, registration, privacy, anti-spam, and professional obligations in the jurisdictions where you operate;
- not be suspended or prohibited from using QuoteFinder.ca.
Professional and licensing responsibility
QuoteFinder.ca is a platform and may require verification or supporting information, but you remain solely responsible for maintaining any licenses, registrations, appointments, permissions, and professional qualifications required for your services.
No platform replacement of your legal obligations
Platform access, verification status, or provider account approval does not replace your own responsibility to comply with laws, regulations, and professional requirements that apply to your business activities.
4) Account registration, security, and access
You are responsible for your provider account, credentials, and all activity that occurs under your account unless caused solely by QuoteFinder.ca’s own error or misconduct.
You agree to:
- keep your login credentials secure and confidential;
- promptly notify QuoteFinder.ca of suspected unauthorized access or compromise;
- maintain current email and contact details for account notices and verification requests;
- avoid sharing credentials or allowing unauthorized users to use your account.
Account access limits
- Individual provider accounts are for the registered user unless the platform expressly permits team/organization access.
- If your organization needs multi-user access, use the appropriate team/brokerage features and terms.
- QuoteFinder.ca may limit, suspend, or require re-verification of accounts where ownership or access control is unclear.
5) Verification, re-verification, and document requests
QuoteFinder.ca may request identity, business, licensing, profile, or other supporting information/documentation for onboarding, verification, re-verification, account recovery, risk review, trust & safety review, or ongoing platform compliance.
You agree to:
- provide accurate and non-misleading information in response to verification requests;
- submit requested materials through approved workflows/channels;
- respond in a timely manner to “needs action” or re-verification requests;
- update your information if it becomes inaccurate, outdated, or expired.

Verification status can change
Verification is not always permanent. QuoteFinder.ca may require re-verification after document expiry, account changes, risk review, or policy/workflow changes.
6) Provider profile, identity, and representation standards
You must keep your profile and all provider-facing/public-facing information accurate, current, and not misleading.
You must not:
- misrepresent your identity, role, organization, licensing status, or service area;
- claim credentials, approvals, or affiliations you do not have;
- use another person’s identity, branding, or credentials without authorization;
- imply QuoteFinder.ca endorses you or guarantees your services unless the platform expressly states so.
You should also:
- keep service categories and regions aligned with what you actually serve;
- remove outdated claims, headshots, team references, or profile details promptly;
- present your services in plain language and professional tone.

7) Marketplace participation and quote request rules
QuoteFinder.ca may make quote requests available to providers through dashboards, invitations, marketplace views, routing rules, or other provider workflows. Availability, eligibility, and visibility may vary by account type, category, region, verification status, or platform configuration.
No guarantee of volume or results
- QuoteFinder.ca does not guarantee any minimum number of quote requests, invitations, leads, messages, client responses, conversions, or revenue.
- Access to quote requests may depend on eligibility, credits, timing, competition, profile status, and platform rules.
- Client selection decisions are made by clients and/or platform workflow rules, not guaranteed by QuoteFinder.ca.
Provider participation expectations
- respond professionally and only when you can legitimately assist;
- avoid generic spam responses or irrelevant sales messages;
- state assumptions, conditions, and next steps clearly;
- do not over-promise pricing, approvals, eligibility, or outcomes;
- comply with all applicable platform messaging and conduct rules.
Marketplace integrity matters
Attempts to game ranking, routing, pricing, selection, or other marketplace processes may result in reduced visibility, feature restrictions, suspension, or account termination.
8) Communications, messaging, and client contact rules
If QuoteFinder.ca provides messaging, quote response, or communication workflows, you must use them professionally and in compliance with platform rules and applicable law.
You must not:
- harass, threaten, intimidate, or spam clients or other users;
- send deceptive, misleading, or impersonating messages;
- use quote-related messages for unrelated mass marketing or promotions;
- request unnecessary sensitive information too early or without explanation;
- circumvent platform communication protections in a way that violates platform rules or user preferences.
You agree to respect:
- client communication preferences and opt-outs, where applicable;
- platform messaging limitations, masking, redaction, and workflow restrictions;
- anti-spam and privacy obligations that apply to your communications.

9) Client information and data use (provider obligations)
Client information made available through QuoteFinder.ca may be used only for legitimate, permitted purposes related to the relevant quote request and your professional follow-up within platform rules and applicable law.
You agree to:
- use client information responsibly and only for permitted quote/request-related purposes;
- limit access to staff who need the information to serve the request;
- maintain appropriate safeguards for any client information you store or process;
- not sell, rent, or misuse client information obtained through the platform;
- not use client information for unrelated campaigns without proper lawful basis/consent where required.
Provider-side compliance remains your responsibility
QuoteFinder.ca may publish platform policies and guidance, but you remain responsible for your own privacy compliance, anti-spam compliance, recordkeeping, and lawful communications in the jurisdictions where you operate.
10) Fees, credits, billing, and payment terms
Certain provider features or actions may require payment, credits, subscriptions, fees, or other charges. If you purchase or use paid provider features, the pricing and billing terms shown at the time of purchase/order (and any applicable policy pages) will apply in addition to these Terms.
Credits (if used on your account/workflow)
- Credits may be required for specific provider actions (for example, bidding/unlocking/responding, where applicable).
- Credit requirements may vary by feature, marketplace configuration, product category, or platform updates.
- QuoteFinder.ca may modify credit requirements, feature access rules, or usage logic with notice as required by law or platform policy.
General billing terms
- you authorize QuoteFinder.ca and its payment processors to charge the payment method you provide for applicable fees and taxes;
- you are responsible for ensuring payment information is valid and current;
- failed, reversed, or disputed payments may result in feature restrictions, account holds, negative balances, or suspension until resolved;
- QuoteFinder.ca may use third-party payment processors and billing service providers.
Taxes
Unless stated otherwise, fees may be shown exclusive of applicable taxes. You are responsible for applicable taxes associated with your use of paid provider features, except taxes based on QuoteFinder.ca’s net income.
Refunds, credits reversals, and disputes
Refund eligibility, credit reversals, billing disputes, and related rules are governed by the applicable refund/credits policy and any plan-specific terms.
No guaranteed return on spend
Payments, credits, or participation fees do not guarantee quote volume, client responses, client selection, conversions, revenue, or business outcomes.
11) Provider content and license to QuoteFinder.ca
You retain ownership of your Provider Content, subject to any rights you grant in these Terms and any rights required to operate the platform.
You grant QuoteFinder.ca a license to:
- host, store, process, display, and transmit your Provider Content as needed to operate provider and client workflows;
- format, reproduce, and adapt your content for technical compatibility, moderation, support, and display purposes;
- use your profile/business information in platform features, directories, or provider-facing/client-facing contexts consistent with the platform and your settings.
You represent that:
- you have the right to upload/use the Provider Content you submit;
- your content does not infringe third-party rights or violate law;
- your content is accurate and not materially misleading.
12) Prohibited conduct (provider side)
You may not use QuoteFinder.ca to engage in conduct that is unlawful, abusive, deceptive, or harmful to clients, providers, the platform, or marketplace integrity.
Examples of prohibited conduct include:
- fraud, impersonation, identity misrepresentation, or false credentials;
- spam, harassment, threats, or abusive communications;
- scraping, automated extraction, unauthorized bots, or attempts to copy marketplace data at scale;
- circumventing access controls, masking/redaction features, workflow restrictions, or billing systems;
- sharing or misusing client data in violation of platform rules or applicable law;
- attempting to manipulate marketplace visibility, rankings, routing, or outcomes unfairly;
- uploading malicious code, harmful files, or attempting to disrupt platform operations;
- using the platform for unlawful services or categories not permitted by QuoteFinder.ca.

13) Monitoring, moderation, and enforcement
QuoteFinder.ca may monitor, review, moderate, investigate, or restrict provider use of the platform to enforce these Terms, protect users, maintain marketplace integrity, comply with law, or address safety/security concerns.
Possible enforcement actions may include:
- warnings or requests for corrective action;
- content/profile removal or edit requests;
- feature limitations (temporary or ongoing);
- verification/re-verification requirements;
- account holds, suspension, or termination;
- withholding access to specific requests/features pending review;
- other reasonable actions permitted by law and platform policy.

Case-by-case review
QuoteFinder.ca may review enforcement matters based on available evidence, severity, repetition, platform risk, and safety considerations. Not all cases will be handled identically.
14) Suspension, termination, and effect of termination
You may stop using QuoteFinder.ca as a provider at any time, subject to any outstanding payment obligations, unresolved disputes, or legal obligations.
QuoteFinder.ca may suspend or terminate your provider access at its discretion where permitted by law, including for violation of these Terms, policy violations, payment failure, verification issues, misuse, fraud risk, security concerns, or platform integrity concerns.
After suspension/termination, QuoteFinder.ca may:
- disable provider access and related features;
- retain records as needed for legal, security, fraud prevention, accounting, or policy enforcement purposes;
- limit re-registration or require additional verification before reactivation (if offered);
- continue to enforce sections that should survive termination (for example billing, limitations, indemnity, disputes, and data-related obligations).
15) Changes to the platform, features, or pricing
QuoteFinder.ca may add, remove, modify, or discontinue features, workflows, categories, messaging tools, marketplace logic, or provider functionality from time to time.
QuoteFinder.ca may also change pricing, credit requirements, or fee structures for paid provider features, subject to applicable law and any notice requirements.

16) Disclaimers (important)
QuoteFinder.ca provides a platform for quote request workflows and provider participation. To the maximum extent permitted by law, the platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, except as expressly required by law.
QuoteFinder.ca does not warrant (for example):
- that the platform will be uninterrupted, error-free, or available at all times;
- that any quote request is accurate, complete, or suitable for your services;
- that clients will respond, select you, or convert into business;
- that provider participation will produce any specific financial result;
- that all users will comply with laws or platform policies.
Professional judgment still required
You are responsible for your own business decisions, communications, compliance checks, and professional judgment when responding to clients or using platform information.
17) Limitation of liability
To the maximum extent permitted by applicable law, QuoteFinder.ca and its operators, affiliates, officers, directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or data loss arising out of or related to your use of (or inability to use) the platform, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total liability of QuoteFinder.ca for claims arising out of or related to these Terms or your provider use of the platform will not exceed the greater of (a) the amount you paid to QuoteFinder.ca for provider features in the 3 months before the event giving rise to the claim, or (b) CAD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
18) Indemnity
You agree to defend, indemnify, and hold harmless QuoteFinder.ca and its operators, affiliates, officers, directors, employees, contractors, and service providers from and against claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your Provider Content;
- your services, conduct, communications, or interactions with clients;
- your violation of these Terms or applicable policies;
- your violation of law, regulation, or third-party rights;
- your misuse of client information or platform features.
19) Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, except where consumer/professional protection or other mandatory laws require otherwise.
Any dispute arising out of or relating to these Terms or your provider use of QuoteFinder.ca will be brought before the courts located in Ontario, Canada, and you consent to the jurisdiction of those courts, except where applicable law requires a different forum.
Before escalating a dispute (recommended)
If you have a billing, platform, verification, or policy concern, contact support first so the issue can be reviewed and, where possible, resolved without formal proceedings.
20) Notices and communications from QuoteFinder.ca
QuoteFinder.ca may send you account, billing, verification, policy, security, operational, or legal notices by email, dashboard notice, platform message, or other reasonable communication methods linked to your account.
You are responsible for maintaining accurate contact details and checking your account communications.

21) Assignment and relationship of parties
You may not assign or transfer your rights or obligations under these Terms without QuoteFinder.ca’s prior written consent.
QuoteFinder.ca may assign or transfer these Terms in connection with a corporate reorganization, merger, sale, or transfer of the platform/business, subject to applicable law.
Nothing in these Terms creates an employment, partnership, joint venture, franchise, fiduciary, or agency relationship between you and QuoteFinder.ca. QuoteFinder.ca is a platform operator, not your employer or business partner.
22) Entire agreement, severability, and waiver
These Terms, together with applicable policies and any plan/order-specific terms referenced by QuoteFinder.ca, form the agreement between you and QuoteFinder.ca regarding your provider use of the platform.
If any provision is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law. A failure to enforce any provision is not a waiver of future enforcement.
